These Terms & Conditions (“Terms”) govern your access to and use of the Proper website, applications, and related services (collectively, the “Services”). By creating an account, booking a service, applying as a Contractor, or otherwise using the Services, you agree to these Terms.

1. The Proper Platform

Proper (Proper Home, LLC) provides a platform that connects Customers with independent Contractors who offer home cleaning and related services. Proper does not provide cleaning services and is not a party to the service contract between Customers and Contractors, except as explicitly stated in these Terms (for example, payment facilitation and platform rules).

2. Eligibility and Accounts

  • You must be at least 18 years old to use the Services.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You agree to provide accurate information and keep it updated.

3. Booking, Matching, and Repeat Contractor Preference

  • Customers may request bookings via the Services. Contractors may accept, decline, or be unavailable.
  • We may attempt to match repeat bookings at the same service address with the Contractor who previously serviced that address to promote consistency. However, we do not guarantee any particular Contractor will be assigned for any booking.
  • Timing, availability, service outcomes, and personnel may vary.

4. Payments, Fees, Refunds, and Chargebacks (Stripe)

A. Payment processing

Customer payments are processed through Stripe. Contractors may receive payouts through Stripe (including Stripe Connect or similar mechanisms). By using the Services, you agree to comply with Stripe’s applicable terms and policies in addition to these Terms.

B. Platform fees and taxes

Proper may charge platform/service fees. Fees (and any applicable taxes) will be displayed at checkout or otherwise disclosed before you confirm a booking. You authorize Proper and/or Stripe to charge the payment method you provide for amounts due.

C. Refunds, disputes, and chargebacks

  • Refunds, if any, may be issued in Proper’s reasonable discretion, subject to these Terms and Stripe rules.
  • If you initiate a chargeback, we may request information from you and/or the Contractor to investigate and respond.
  • We may suspend accounts or restrict access for excessive disputes, suspected fraud, or policy violations.

5. Contractor Relationship; No Employment

  • Contractors are independent contractors and not employees, agents, joint venturers, or partners of Proper.
  • Contractors control the manner and means of performing services, including tools, supplies, methods, and timing (subject to booking commitments and platform rules).
  • Proper does not supervise or control cleaning performance and is not responsible for a Contractor’s acts or omissions, except as required by law.

6. Customer Responsibilities

  • Provide accurate booking information, including address, access instructions, and service needs.
  • Ensure safe and reasonable working conditions, including pets secured when required and hazards disclosed.
  • Do not request unlawful, unsafe, or prohibited services.
  • Respect Contractors; harassment, discrimination, and abusive conduct are prohibited.

7. Contractor Responsibilities

  • Provide accurate onboarding information and maintain required eligibility.
  • Perform services in a professional and lawful manner consistent with the booking details.
  • Maintain appropriate insurance and permits if required by law or by platform rules (if applicable).
  • Do not misuse Customer information; only use it to perform and coordinate booked services.

8. Prohibited Conduct

You agree not to:

  • Use the Services for unlawful purposes or in violation of any applicable law.
  • Attempt to bypass platform payments, fees, or rules by transacting off-platform (if prohibited by your business model).
  • Reverse engineer, scrape, or interfere with the Services’ operation or security.
  • Post or transmit malware, harmful code, or exploit vulnerabilities.
  • Harass, abuse, threaten, or discriminate against any person.
  • Infringe intellectual property rights or upload content you do not have rights to use.

9. Intellectual Property

A. Proper IP

The Services, including all software, design, text, graphics, logos, and trademarks, are owned by Proper or its licensors and are protected by intellectual property laws. Except for the limited license below, no rights are granted to you.

B. Limited license

Subject to these Terms, Proper grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use (as applicable) in accordance with these Terms.

C. Your content and feedback

  • You retain ownership of content you submit (such as reviews, messages, and profile content) (“User Content”).
  • You grant Proper a worldwide, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting), display, and distribute your User Content solely to operate, improve, and promote the Services.
  • If you provide feedback or suggestions, you grant Proper the right to use them without restriction or compensation.

10. Reviews and Ratings

Reviews and ratings should be accurate and respectful. Proper may remove content that violates these Terms or platform policies.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

PROPER DOES NOT WARRANT THAT BOOKINGS WILL ALWAYS BE AVAILABLE, THAT ANY PARTICULAR CONTRACTOR WILL BE ASSIGNED, OR THAT SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
